Terms of Service

By accessing or using ScopeQ (“the Service”) you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not use the Service. These Terms constitute a legally binding agreement between you and ScopeQ.

ScopeQ is a cloud-based platform that helps professional services teams build product templates, generate Statements of Work (SOWs), manage rate cards, and produce client quotes. Features include AI-assisted content generation, approval workflows, and PDF/DOCX export.

You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at legal@scopeq.io if you suspect unauthorised access.

Each account is associated with a single tenant (organisation). Tenant administrators may invite additional users and manage roles within their tenant.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorised access to any part of the Service or its related systems.
• Reverse-engineer, decompile, or disassemble any portion of the Service.
• Upload or transmit viruses, malware, or other harmful code.
• Use the Service to harass, defame, or harm any person.
• Scrape, mine, or extract data from the Service in an unauthorised manner.
• Resell or sublicense access to the Service without our prior written consent.

We reserve the right to suspend or terminate accounts that violate this policy at our sole discretion.

ScopeQ offers Free, Starter, Pro, and Enterprise plans. Paid plans are billed on a monthly or annual basis via Stripe. By subscribing to a paid plan you authorise ScopeQ to charge your payment method on a recurring basis.

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not offer prorated refunds for partial billing periods, except where required by applicable law.

We reserve the right to change pricing with at least 30 days’ written notice. Continued use of the Service after the price change takes effect constitutes acceptance of the new pricing.

ScopeQ uses Anthropic's Claude API to help generate SOW drafts, templates, and other content. AI-generated outputs are provided as drafts to assist your workflow and are not legal, financial, or professional advice.

You are solely responsible for reviewing, editing, and approving all AI-generated content before sharing it with clients or using it in any binding agreement. ScopeQ makes no warranty regarding the accuracy, completeness, or suitability of AI-generated content for any particular purpose.

Your data: You retain full ownership of all content you create, upload, or generate within ScopeQ (“Customer Data”). By using the Service you grant ScopeQ a limited, non-exclusive licence to process and store your Customer Data solely to provide and improve the Service.

Our platform: ScopeQ owns all rights, title, and interest in the Service, including all software, designs, trademarks, and documentation. Nothing in these Terms transfers any ScopeQ intellectual property to you.

Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. SCOPEQ EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCOPEQ AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF SCOPEQ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SCOPEQ IN THE 12 MONTHS PRIOR TO THE CLAIM OR (B) USD $100.

You agree to indemnify, defend, and hold harmless ScopeQ and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

You may close your account at any time by contacting us at legal@scopeq.io or via account settings. ScopeQ may suspend or terminate your access immediately if you breach these Terms, fail to pay amounts due, or if we are required to do so by law.

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days during which you may request an export, after which it will be deleted in accordance with our Privacy Policy.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

We may modify these Terms at any time. We will notify you of material changes by email or by a prominent notice within the application at least 14 days before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
